Mentu Terms of Use
What is MENTU?
MENTU EDUCACIÓN S.A.S. (hereinafter "MENTU") is a company duly incorporated under the laws of Colombia, with Tax Identification Number (NIT) No. 901753973-0 and headquartered in the city of Bogotá D.C., located at Cl. 79b #5-81, telephone number +57 320-455-0793 and email address info@mentu.co. MENTU develops and implements technology and innovation activities that promote the adoption of pedagogical, educational, technological, and digital practices based on research, with the aim of complementing education and promoting access to quality learning in Latin America and the Caribbean.
Introduction:
This document contains the Terms and Conditions of Use (hereinafter the "Terms") of the SHAIA Web Platform (https://shaia.mentu.co/), owned by MENTU. Shaia is a teacher assistant that uses artificial intelligence to integrate high-quality resources and methodologies to help teachers improve student learning while reducing the time and effort required. Shaia offers tools (referred to as superpowers) that support work before class (planning with best practices that acknowledge student variability and curated high-quality resources), during class (privately recording relevant information), and after class (pedagogical reflection and connecting classroom events with future lesson plans).
How to Read These Terms?
MENTU’s Terms and Conditions of Use are divided as follows: first, the general conditions of use for any User are stated. Then, the specific terms of use by user profile are outlined. Accordingly, you can determine which parts apply to you and which you should read.
General Conditions:
Purpose:
These Terms aim to regulate and establish the agreement between MENTU and the User governing access to and use of the content, features, products, and services available on the Web Platform (https://shaia.mentu.co/, https://contenido.mentu.co) and its mobile version (hereinafter the “Platform”). Please note that these Terms apply to teachers, authorized third parties, collaborators, contractors, and/or any natural or legal person who accesses the platforms.
Definitions:
The following definitions will help you navigate the Terms.

MENTU: refers to MENTU EDUCACIÓN S.A.S., its subsidiaries, branches, and other business divisions.

The Platform: means the Web Platform: https://shaia.mentu.co/ and the content available at https://contenido.mentu.co, and their mobile versions owned and/or developed by MENTU. The platform’s main features are described in the “Registered User Profile” section.

User(s): refers to any natural or legal person who visits and uses the web platform and mobile application created and owned by MENTU, regardless of gender.
- Use of Artificial Intelligence on the Platform: The Platform uses Large Language Models (LLMs), retrieval-augmented generation (RAG), function calling, and multi-agent prompt engineering workflows to support teachers throughout the teaching cycle.

Large Language Models:
The Platform uses a type of generative artificial intelligence (AI) called Large Language Models (LLMs). These are created by third parties (MENTU’s providers such as OpenAI, ElevenLabs, Google, and others) and are used to generate different types of texts within the superpowers. -
Quality Resources, Retrieval-Augmented Generation (RAG), and Function Calling:
To minimize errors or hallucinations that LLMs may produce, the platform integrates resources such as lesson plans and activities selected by MENTU’s pedagogical team and allies, which serve as a foundation for the generation processes. The pedagogical team and allies index these selected resources so that the AI, through multi-agent flows (explained below), can search and select the most relevant ones to use as a basis for the generation processes. -
Multi-agent Flows:
To perform the complex and cognitively demanding tasks Shaia carries out for Users—such as planning a class sequence based on course characteristics—the Platform creates multiple agents. These systems receive and process information, make decisions such as consulting additional information or confirming data with the User, and perform actions such as generating the text for an activity or the image accompanying a math problem. For example, to plan an activity, the Platform chains the work of agents that search for relevant activities or strategies with others that translate them and others that generate the final images and formats shown to the User. -
Human-in-the-loop Review:
The interdisciplinary team at Mentu—including experts in pedagogy, psychology, ethics, and technology—regularly reviews randomly selected resources generated by the platform and evaluates them in terms of relevance, quality, and bias potential. This human-in-the-loop strategy ensures that the tools, designed to enhance the capabilities of end users, are always monitored by humans through internal audits and social impact metrics. For Mentu, supporting teachers is directly tied to a commitment to responsible innovation, where technology acts as an inclusive enabler and never a replacement for critical human judgment.
Acceptance:
By accessing and using the Platform in any form and for any product or service, you as the User are expressing your consent, agreement, and understanding of these Terms. If you do not agree with the rights and obligations set forth herein, it is recommended to stop using the Platform and request the deactivation of your user account, if created, by contacting admin@mentu.co.
Modifications and/or Updates:
MENTU may modify these Terms by publishing them on the Platform, and it is understood that, as a User, you accept and comply with any changes, updates, or modifications made. MENTU also reserves the right to modify, adjust, remove, or change the products or services offered on the Platform at any time and without prior notice. Therefore, it may discontinue and/or restrict its use at its sole discretion, including software updates, new features, and/or other elements and functionalities of the Platform.
Continued use of the Platform after an update notice will constitute acceptance of the modifications. In case of disagreement, the User must immediately stop accessing the service and inform MENTU to cancel their account.
Binding Effect:
These Terms are binding and govern the use of the Platform, its products, services, and other content offered by MENTU.
User Declaration:
By using, browsing, or accessing the MENTU Platform, the User declares and guarantees that:
i) the use of the Platform and its products and services does not violate any applicable local or international law or regulation;
ii) they will not enter personal information if they are under 18 years old and not properly represented by a parent or responsible adult;
iii) when creating an access account, the information provided is true and accurate;
iv) they will use the Platform ethically and responsibly; and
v) they have the capacity to understand and accept the conditions and requirements set forth in these Terms.
The User agrees not to disclose personal or sensitive information of third parties without the corresponding express authorization or without a formal data processing agreement or relationship that authorizes them to act as the data processor. The User assumes responsibility for entering any information without proper authorization.

Applicable Law:
MENTU’s main office is located in Colombia, and therefore these Terms are governed by the laws of the Republic of Colombia. However, the services used and provided through the Platform in other countries must comply with the regulations in force in the country from which the services are used, without prejudice to Colombian regulations. Any User who decides to access the Platform does so voluntarily and assumes responsibility if they violate any applicable local law. In case of conflict between Colombian law and that of another country, the provisions that best protect fundamental rights and internationally recognized public order shall prevail.
MENTU reserves the right to restrict or limit access to the Platform in countries where its use may violate local regulations or compromise the company’s ethical principles. Examples include, but are not limited to, jurisdictions under international sanctions, countries with laws that infringe on human rights, or territories not covered by international data transfer and intellectual property protection agreements.
Dispute Resolution:
Any dispute arising from these Terms shall be resolved through amicable settlement by a conciliator jointly appointed by the User and MENTU, subject to the rules of Amicable Settlement of the Bogotá Chamber of Commerce (CCB). The proceedings related to the amicable settlement shall take place at the facilities of the CCB.
Costs incurred shall be borne by the losing party, and fees and expenses of the process shall be determined according to the current rates of the CCB regarding Amicable Settlement.
Unauthorized Uses:
Any User of the MENTU Platform (whether or not they have a registered account) is NOT permitted to engage in the following activities:

Use the MENTU Platform and its products and/or services for the creation, transmission, or dissemination of messages or content that include obscene, illegal, threatening, defamatory, or violent images or texts, or that are considered ‘spam’.

Use the MENTU Platform and its products and/or services for the creation, transmission, or dissemination of messages or content that violate the rights of children and adolescents as protected under current regulations.

Use the MENTU Platform and its products in ways that are harmful or discriminatory.
-
Violate the privacy or personal data of third parties.
-
Infringe on copyrights, registered trademarks, image rights, patents, trade secrets, intellectual property, know-how, and/or confidential information of third parties without proper authorization.

Introduce malware (malicious software) with the purpose of compromising or disrupting the proper functioning of the Platform or third-party computers.
-
Attempt to exploit any technological vulnerability found on the Platform, bypass security measures, gain unauthorized access, extract data, or perform reverse engineering on any part of the Platform, its systems, databases, source code, technological infrastructure, or related services.

Impersonate another person or commit identity fraud.
-
Commit any act deemed illegal under Colombian law, international law, or the laws of the country from which the User accesses MENTU’s services.

Use automated methods, such as bots or scrapers, to collect information from the Platform without MENTU’s express authorization.
Violation of any of the conditions described herein entitles MENTU to take any necessary actions or decisions, including the use of legal remedies it may be entitled to, or to cancel, suspend, or delete the user’s account at its sole discretion and without prior notice.
Prohibition of Commercial Use:
Any commercial use for the User’s or third parties’ benefit of the content and/or products and services hosted, published, or made available on the Platform is strictly prohibited. As a User, you may not use the content subject to these Terms to carry out, among other activities, the following without MENTU’s prior express written authorization:

Include it in the promotion of commercial activities or sales by third parties, such as contests, giveaways, raffles, and other advertising offers.

Sell or transfer the aforementioned content to third parties in exchange for any form of compensation (in kind or otherwise), in any known or future physical, electronic, and/or magnetic format.
-
Enter into any contract or agreement that could generate income or compensation through the dissemination and/or reproduction of the aforementioned content, without proper authorization from MENTU.
-
Any other activity involving commercial, advertising, or industrial use of the content.
Liability:
To the extent permitted by law, under no circumstances shall MENTU, its employees, agents, representatives, providers, contractors, and/or assignees be held liable for:

The content, materials, or any information generated on the Platform using artificial intelligence systems, which are designed and powered by evidence-based resources from learning sciences research. Each development phase—from design to implementation—includes mechanisms to prevent discrimination and bias, aligned with ethical data management practices. The platform uses Retrieval-Augmented Generation (RAG) techniques to ensure that the information provided is based on high-quality theories and resources selected by the Mentu team. However, we acknowledge that despite our settings and safeguards to guide the AI toward appropriate outputs, there is a possibility that Users may generate inappropriate content, whether intentionally or due to unexpected system interpretations. For this reason, the User is solely responsible for how they use the Platform and for the content they generate, and agrees to use it ethically and in accordance with applicable laws and regulations.

Any damages or losses to the User's software or hardware caused by technical issues resulting from accessing the Platform or using its features, which are accessed at the User's own risk and responsibility.

The User acknowledges and accepts that any material downloaded or obtained through the Platform is done at their own risk, and they are solely responsible for any damage, loss, cost, or expense resulting from such actions.

The User assumes responsibility and releases Mentu from any damage, virus, malware, or harm to the computer, mobile device, or other compatible device that is caused by or results from the use, download, access, or browsing of the Platform.

The User assumes responsibility and releases Mentu from personal injuries, property damage, or other harm resulting from accessing or using the Platform.
Third-Party Sites and Content Links:
The Platform may contain third-party links and/or content. Mentu curates and reviews such content; however, the content of linked resources may have changed or disappeared without Mentu's knowledge. Therefore, if the User chooses to access any of the provided links, it is understood that they do so at their own risk, releasing MENTU from any liability or claims.
MENTU’s Warranties and Representations:
Although MENTU strives to keep the Platform available at least 98% of the time each day, MENTU, its employees, agents, representatives, providers, contractors, and assignees do not guarantee the availability or continuous operation of the Platform at all times, since it is constantly being updated. MENTU also does not guarantee that the Platform will operate permanently and without failures, nor does it accept any liability for damages suffered by the User due to the inability to use the information, services, or products provided, or due to unauthorized access or misuse of servers or the User's personal information or data.
Due to the nature of the internet and generative artificial intelligence, MENTU and its collaborators also do not represent or guarantee that the information or content generated by the Platform, or by linked third parties, will always be complete or accurate, despite reasonable measures and best practices implemented in its processes. The User assumes responsibility for interpreting and using the information contained on the Platform, including any damage, loss, cost, or expense resulting from content published or shared through it.
The User understands and agrees that all content, material, and information found on the Platform is provided “as is” and “as available,” with no express or implied warranties.
Personal Data:
By accepting these Terms, the User acknowledges and agrees that MENTU may process their personal data in accordance with the Personal Data Processing Policy. For more information, consult the document available at the following link: https://mentu.co/autorizacion-de-tratamiento-de-datos, where you can also view the Privacy Notice.
If a User signs additional authorizations with MENTU, such authorizations will be considered part of the personal data processing agreement and will be integrated into these Terms.
Age Requirements:
Access to and use of the MENTU Platform requires the User to be at least 18 years old. Otherwise, a parent or legal guardian must create the User account and provide any necessary information if applicable. Additionally, the minimum age requirement applies to the acceptance of these Terms. In cases where the User is a minor, the acceptance of these Terms must be authorized by the User’s parent or legal guardian with the authority to do so.
Security:
Although MENTU, its employees, agents, representatives, providers, contractors, and assignees make every effort to ensure User security, they cannot guarantee or represent that unauthorized third parties will be unable to bypass or overcome their security measures. In the event of suspicious activity, all Users are required to contact MENTU immediately by writing to info@mentu.co or calling +57 320-455-0793.
Intellectual Property:
All content, products, services, information, illustrations, courses, videos, interfaces, etc., found, obtained, or hosted on the Platform are protected under applicable Colombian and international intellectual property and know-how regulations. Accordingly, all content on the Platform belongs to MENTU or to its current rightful holders, and any unauthorized use shall be deemed an infringement of the rights mentioned herein, in addition to any other protections granted by law. Any use not covered under these Terms must be expressly authorized in writing by MENTU or the applicable legal rights holder.
Copyright:
All works, texts, drawings, software, videos, diagrams, and other content subject to copyright protection found on the Platform and/or forming part of the service provided are the property of MENTU and its legitimate legal owners. Any use that contravenes the provisions of these Terms will be considered an improper use of the works, and as a User, you will be subject to the legal actions permitted by Law 23 of 1982 and other applicable laws. You are also not allowed to reproduce or modify the works or content on the Platform.
User-Created Products:
See the section “User License.”
Distinctive Signs:
Any trademarks, commercial slogans, logos, logotypes, and/or distinctive signs owned by MENTU or its legitimate legal holders cannot be used for purposes other than those specified in these Terms. In this sense, any sign used or found on the Platform belongs to MENTU or its respective holder and is protected under the applicable regulations on distinctive signs (Decision 486 of 2000 of the Andean Community, among others). Unauthorized use of such signs is prohibited without prior written authorization from the owners.
Know-how:
Elements within the content and/or services provided by MENTU that are protected under the figure of know-how belong exclusively to MENTU and/or its legitimate holders. As a User, you may not use them contrary to the provisions of these Terms, nor claim or attribute ownership over them.
Trade Secrets:
Any non-disclosed information owned by MENTU or any legitimate holder that can be used in any productive, industrial, or commercial activity and that could be transmitted to a third party, provided that the information is: secret, commercially valuable due to its secrecy, and has been subject to reasonable measures taken by its legitimate owner to keep it secret, will be considered a trade secret. This includes, but is not limited to, information regarding the nature, characteristics, or purposes of products, production methods or processes, such as system architecture details supporting the platform, or distribution or commercialization methods. Therefore, anyone who legitimately controls a trade secret is protected against the disclosure, acquisition, or use of such a secret in a manner contrary to fair business practices by third parties.
No Assignment:
The above does not imply a transfer (assignment) or a license for use for purposes other than those stated in these Terms or by the Parties regarding any of the aforementioned intellectual property assets.
Removal:
MENTU reserves the right, at its discretion and without prior notice, to remove any User or temporarily or indefinitely suspend their ability to use the Platform if reasonable notice is received indicating that they have infringed (or there is reasonable suspicion that they are infringing) MENTU's intellectual property rights and/or know-how or the rights of third parties or violating these Terms in any other way. This is independent of any responsibility that may arise from such conduct and regardless of any progress the User may have made on the Platform.
Assignment:
MENTU has the right and is fully authorized to assign its rights and obligations derived from these Terms without the need for prior authorization from the User.
Severability and Independence of Provisions:
If one or more of the provisions contained in these Terms are considered void, illegal, or ineffective in any respect, the validity, legality, enforceability, or effectiveness of the remaining provisions will not be affected or rendered invalid by such event.
Entirety:
As a User, you agree that both the Personal Data Processing Policy, the Privacy Notice, and these Terms constitute the entirety of the Terms and Conditions of Use.
Creation of User and Password:
To access certain content and perform Shaia's superpowers within the Platform, you must create a user and a password and become a Registered User. For this, MENTU will request an email or phone number and a password. Additionally, you will be asked to provide your first name, last name, and city of residence. As a User, you must provide complete and truthful information and update it when necessary. Please note that creating an account under a false identity or with incorrect information is prohibited. MENTU reserves the right to delete, temporarily suspend, or block an account if it detects that the provided information is not truthful.
Your email and password are intended to identify you and protect the privacy of all Users, and they should not be shared with third parties, as they are personal and non-transferable. You are responsible for any consequences resulting from their disclosure. In this regard, you agree to maintain the confidentiality of your account information, including not disclosing details to others or entities, and you are responsible for immediately notifying MENTU of any suspicious access or unauthorized use of your account. Failure to notify is considered a breach, and MENTU may delete, temporarily suspend, or permanently block your account.
You are solely responsible for actions and activities occurring on the Platform through your account. You also acknowledge and agree that MENTU is not responsible for i) any damage, loss, cost, or expense resulting from unauthorized access to your account, or ii) any unauthorized activity carried out on the Platform through your account. Any activity performed under your email and password is understood to have been carried out by you, at your own risk and responsibility.
MENTU reserves the right to change any or all of the requirements for creating a user account. In such cases, MENTU must send a notification of the changes and it is the User’s responsibility to update their account within a reasonable time frame.
Account Cancellation:
Any User can proceed to cancel their account (email and password) whenever they wish. A cancellation request must be sent to the email address info@mentu.co with the subject ‘Account Cancellation.’ This does not apply if there are commitments made via contract, agreement, or any other document with MENTU.
Any violation or breach of these Terms entitles MENTU to cancel, block, or suspend an account, without prior notice or notification.
Registered User Profile:
Applicability:
This section applies to any natural or legal person who enters the Platform under a “Registered User” account (hereinafter UR) to access and use the educational resources offered by MENTU on its Platform that are not openly available, such as Shaia’s superpowers.
Particularities of Registered User Use:
Access as a Registered User is free, with a limited number of uses per month. This number of limited uses is measured by ‘credits,’ which total one hundred (100). These credits will be renewed every 30 days from registration. The User can always check how many credits they have available on the Platform's user interface (UI).
Each time a superpower of Shaia is used, a number of credits will be deducted, and this total will accumulate until the one hundred (100) credits are exhausted. The number of credits associated with each superpower is determined by MENTU and corresponds to internal criteria and parameters.
Main Functionalities Offered to the Registered User:
On the MENTU Platform, the User can use one or more of Shaia’s superpowers, a constantly growing list of tools to be used before, during, and after class. The list is constantly evolving, is not exhaustive, and may include superpowers that are in development, design, or testing stages. Course:
A course allows Shaia to store the information needed each time it uses a superpower. Data such as the subject, number of students, ages, learning objectives, etc., are stored in order to always obtain results that are better tailored to each group’s context.
Inclusion of Variability in the Course:
Using models developed by Digital Promise, select the Variability Factors and Classroom Strategies you want to consider for each course, which will be available every time you use a superpower. With these research-based strategies, you ensure that Shaia’s pedagogical suggestions and proposals truly match the diverse learning profiles of all your students.
Planning Superpowers (before class):
Before class, Shaia can support various types of teacher planning activities, such as the following:

Activity or Class: Design an activity (as long or short as needed) for subjects such as Mathematics, Language, and many others, using inclusion strategies for variability and best educational practices.

Concrete Strategy: Select a classroom strategy based on research from our partner Digital Promise, and Shaia helps you find ways to apply it in your class.
-
Math Conversation Planning: Plan a powerful collaborative problem-solving activity for your Math class, using the methodology recommended by our partners Youcubed and Digital Promise.
-
Story: Create a story with pre-reading, reading, and post-reading activities for a class session.
-
Assessment: Design various types of activities to assess your students' learning.
-
Rubric: Create rubrics for any context, defining what you want to evaluate and the number of levels and criteria you need.
Superpowers for during and after class:
-
Feedback: Record what the teacher says in a class with their own phone, transcribe the audio, and receive feedback on aspects of their teaching practice. After completing the process, save key ideas to consider in future planning.

Class Summary: Create a class summary to save in your logbook, use for reflection, or send to students if they were absent or as a study aid.
General Procedure of Use:
When accessing the superpower you wish to use, you must complete some key context information. If you have created a Course, this information will be automatically used, and you only need to answer a few additional questions in a form or through a conversation (text chat or, in some cases, voice) with Shaia. These questions are designed to act as parameters guiding the artificial intelligence system. All the information shared with Shaia during this process is private, and neither Mentu nor its AI providers use it to train models or share it with third parties for marketing or advertising purposes. Only the User has access to this information, and it is not shared with other users.- This form includes mandatory questions that must be completed in order for the Platform to generate the requested content. It also includes guiding questions that are used to enhance the quality of the content you receive. The more precise and detailed your answers are, the more tailored and useful the content provided by the Platform will be.
- With the information provided, Shaia generates a final product, which could be a plan, explanation, feedback, etc., and responds to the user with either the product or by asking for more information through a conversation. Upon completion of the process, Shaia presents the User with a final product that can be exported in various ways (e.g., as a PDF document).
- Download or Iteration of Generated Content: Once satisfied, the User can click "Export" to generate a downloadable version of the content produced by the Platform and save it to their personal library on the platform for future reference or export.
License to Use for Registered Users:
As a Registered User, MENTU grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access, use, view, download, and interact with all the products, services, and content offered on the Platform for educational, pedagogical, and instructional purposes (non-commercial).
In this sense, as a Registered User, you can access all content hosted and generated by the Platform, as well as perform the allowed downloads, as long as the material is used to fulfill educational, pedagogical, or similar purposes in relation to MENTU's corporate purpose or in compliance with any agreement or contract. Furthermore, any rights not explicitly granted by this license are reserved by MENTU and/or other legitimate holders according to the law.
As a Registered User, you declare that you access and use the Platform only with the user and password assigned by MENTU, unless you have obtained written authorization from the company for more than one account or without the creation of one, and that no other person or legal entity will use it on your behalf. The use of the Platform does not grant any intellectual property or know-how rights in your favor.
Resources Generated by Registered Users with Shaia's Superpowers:
With Shaia's superpowers, Users can generate content using artificial intelligence to create personalized resources that meet each user's needs, such as lesson plans or feedback as described in the section on Main Features. The User is authorized to copy and modify the material for their own non-commercial use or share it with third parties, as long as they meet the following conditions:

Maintain the attribution indicating that it was generated with artificial intelligence using the Shaia platform, including links and logos of any partners included in the download or display on screen.

Maintain attribution to any resources used when it is included in the result (Shaia includes it when applicable).
-
Use strictly for non-commercial, non-profit purposes.
No Employment Subordination:
The acceptance of these Terms does not establish or imply any kind of employment relationship, and therefore, MENTU and the Registered User perform their activities with full independence and absolute autonomy, using their own means and on their own schedules.
Indemnity:
As a Registered User, you agree to indemnify and hold harmless MENTU, its employees, agents, representatives, suppliers, contractors, and assignees from any claim, demand, damages, losses, liens, fines, penalties, costs, or expenses incurred or suffered that arise from or in relation to:
i) the use of the Platform;
ii) incorrect use or breach of any of these Terms;
iii) violation of any applicable law;
iv) content or material created or published under your account and at your own risk;
v) any misuse of material downloaded from the Platform.
Terms of Use for Registered Users:
In addition to the conditions already mentioned, as a Registered User you agree to the following additional usage criteria, acknowledging them as an essential part of these Terms:

Provide information in the various forms required by the Platform that does not contravene the provisions of MENTU’s Personal Data Processing Policy and Privacy Notice.

You are not authorized to create a new account if MENTU has previously deleted, suspended, or canceled a prior account controlled by you as a User.

You will not use the Platform for illegal purposes or engage in any activity that harms or violates the rights of any natural or legal person.

You will not use the Platform in any way that goes against these Terms and/or any other applicable law.

You will not engage in conduct that restricts or inhibits the use or enjoyment of the Platform.
-
It is strictly prohibited to impersonate MENTU, one of its employees, or any other natural or legal person, as long as such impersonation is false.

You will not use the Platform with the aim of exploiting, harming, or otherwise endangering minors by exposing them to inappropriate content, requesting their personal data, or in any other unauthorized way according to these Terms or as agreed with MENTU.

You are also prohibited from using reverse engineering or any other reconfiguration method to recreate content owned by MENTU or other legitimate third-party holders.

The Platform will be used solely and exclusively for the specific purposes established in these Terms. Any use by you for purposes other than those previously stated shall be understood as a breach.
Registered User Declarations:
By accepting these Terms as a Registered User, you confirm the following declarations:

Assume responsibility for your use of the Platform, including the use of your personal user account.

Refrain from using false or misleading information when creating your account on the Platform and from misusing third-party personal data.

Use any material or content downloaded from the Platform in accordance with the purposes set forth herein, without personal commercial benefit and without the intention of infringing the rights of MENTU or third parties.

Assume responsibility for the data or information you use when completing forms on the Platform, understanding that the better or more detailed the completion, the higher the quality of the content delivered.
Institutional User Profile (Private or Public Educational Organization):
Applicability:
This section applies to any Registered User who has received an institutional license through an invitation from an organization that has an agreement with Mentu. If your organization does not have a license, please contact info@mentu.co.
Institutional User Usage Particularities:
The Institutional User accesses the Platform through a personal and non-transferable invitation that assigns them a limited use license according to the conditions agreed upon with each institution.
Institutional Users are a type of Registered User and, as such, are governed by the same Terms described for them. Additionally, the institutional license may include:

Unlimited use of Shaia’s superpowers.

Customization of superpowers by including the institution’s curriculum or learning objectives in the course and superpower profiles.

Superpowers co-designed and tailored to the institution’s needs.
-
Training and support resources.
-
Evaluation and monitoring.

Premium support.
The Institutional User uses the same main functionalities and general procedures as Registered Users. In the case of tailored superpowers, specific procedures are designed for each case, following the same general pattern as the other Shaia superpowers described in the General Use Procedure section for Registered Users.
Authorized Third-Party Profile:
Applicability:
This section applies to collaborators, contractors, providers, authorized third parties, and/or any natural or legal person (hereinafter “Third Party”) who accesses the MENTU Platform in order to fulfill a contractual obligation with MENTU or under an agreement that involves its use for carrying out their duties.
Third-Party License of Use:
As a Third Party, MENTU grants a limited, non-exclusive, non-transferable, and non-sublicensable license to access, use, view, and interact with all the products, services, and content offered on the Platform to fulfill the function, mission, or specific purpose granted via contract, agreement, collaboration, or any other document signed between the parties.
In this regard, you may access all content available on the Platform and download materials when permitted, as long as the material is used to fulfill the mentioned purposes or in accordance with what has been previously agreed with MENTU. Any rights not expressly granted by this license are reserved by MENTU and/or the other legitimate rights holders under the law, as applicable.
As a Third Party, you declare that you access and use the Platform only with the username and password assigned by MENTU, unless you have received written authorization from the company to have more than one authorized account or to use the Platform without creating an account. No other natural or legal person is allowed to use your account on your behalf. The use of the Platform does not grant any intellectual property or know-how rights in your favor.
Indemnity:
As a Third Party, you accept and agree to indemnify and hold harmless MENTU, its employees, agents, representatives, providers, contractors, and assignees from any claims, demands, damages, losses, liens, fines, penalties, costs, or expenses incurred or suffered arising from or related to: (i) the use of the Platform, (ii) misuse or breach of any of these Terms, (iii) violation of any applicable law, (iv) content or material created or published under your account and responsibility.
Third-Party Profile Terms of Use:
In addition to the aforementioned conditions, as a Third Party you agree to the following additional usage criteria, recognizing them as an essential part of these Terms:

You are not authorized to create a new account if MENTU has previously deleted, suspended, or canceled a prior account controlled by the User.

Comply with MENTU’s Personal Data Processing Policy and Privacy Notice.

Do not use the Platform for illegal purposes or engage in any activity that harms or violates the rights of any natural or legal person.

Do not use the Platform in any way that goes against these Terms and/or any other applicable law.

Do not engage in conduct that restricts or inhibits the use or enjoyment of the Platform.

Clearly and transparently identify yourself as a MENTU employee, contractor, or partner, as applicable. It is strictly prohibited to impersonate MENTU, one of its employees, or any other natural or legal person, provided such impersonation is false.

Do not use the Platform with the intent to exploit, harm, or in any way endanger minors, by exposing them to inappropriate content, requesting their personal data, or by any other means not authorized by these Terms or as agreed with MENTU.

If applicable, that you are the owner of the content published on or through the Platform, with the ability to grant rights to MENTU, and confirm that the publication of your content does not infringe upon the intellectual property or other related rights of third parties and is truthful to the best of your knowledge and due diligence capability.
